first & second board minutes

Your new company is required to have a 'constitution' accepted by the 'board of directors'. When you receive your company formation pack we will have completed the registration procedures, but you need to take the next formal steps.

A board of directors is expected to hold meetings and to 'minute' the proceedings of those meetings. "First minutes' cover the acceptance of the fundamental arrangements under which a company is set up. This includes formal acceptance of the Memorandum & Articles, appointment of Officers, approval of the Registered Office address and, if relevant, resignation and replacement of Officers who served temporarily during setting-up process.
