Your new company is required
to have a 'constitution' accepted by the 'board of directors'. When
you receive your company formation pack we will have completed the registration
procedures, but you need to take the next formal steps.
A
board of directors is expected to hold meetings and to 'minute' the
proceedings of those meetings. "First minutes' cover the acceptance
of the fundamental arrangements under which a company is set up. This
includes formal acceptance of the Memorandum & Articles, appointment
of Officers, approval of the Registered Office address and, if relevant,
resignation and replacement of Officers who served temporarily during
setting-up process.
When
you order 'first minutes' from Duport Associates, we create the 'minute'
for you, signed and dated by us on your behalf.
At the same time, we give you a model (called 'second minutes') that
you can use to create an appropriate 'minute' covering the next formal
step that you must take after becoming directors.
